Terms of Service

1. Agreement to Terms

By accessing or using the services provided by 8291152 Canada Inc., operating as ALFI ("we", "our", or "us"), including the website thealfi.ca, our inventory management software, and Amazon seller management services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms apply to all users, including clients, consultants, and visitors to our website. Our Privacy Policy is incorporated into these Terms by reference.

2. Description of Services

ALFI provides the following services to Amazon sellers:

  • Inventory Management Software: A web-based platform offering real-time stock health monitoring, intelligent restock recommendations, multi-marketplace inventory tracking, shipment stage tracking, cost and COGS management, and Brand Analytics integration.
  • Amazon Seller Management: Consulting and management services for Amazon sellers, including account management, listing optimization, advertising management, and growth strategy.
  • Data Analytics: Sales velocity analysis, demand forecasting, inventory health scoring, and actionable insights powered by Amazon SP-API data.

Our Services rely on the Amazon Selling Partner API (SP-API) for data access. Service availability, accuracy, and functionality are dependent on Amazon's API availability and data quality. We are not responsible for disruptions, data inaccuracies, or service limitations caused by Amazon's systems.

3. Account Registration and Security

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must not share login credentials with unauthorized individuals. Each user must have their own unique account.
  • You must not share Amazon API credentials, access keys, or authorization tokens with any third party or use them outside our platform.
  • You must notify us immediately of any unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Amazon SP-API Authorization

Our software integrates with the Amazon Selling Partner API (SP-API) to provide inventory management and analytics services. By connecting your Amazon Seller account:

  • You authorize us to access your Amazon seller data through Amazon's OAuth authorization mechanism as described in our Privacy Policy.
  • You confirm that you have the legal authority to grant this access for the Amazon seller account(s) you connect.
  • You understand that we access only the data necessary to provide the Services you have authorized.
  • You may revoke access at any time through your Amazon Seller Central account or by contacting us.

Our use of Amazon SP-API data complies with Amazon's Acceptable Use Policy (AUP) and Amazon's Data Protection Policy (DPP). We act as a data processor on your behalf (you are the data controller) and process Amazon data exclusively to provide the Services described herein. We do not use SP-API data for any purpose beyond the authorized Services.

5. Acceptable Use

You agree not to:

  • Use the Services for any illegal or unauthorized purpose.
  • Attempt to gain unauthorized access to our systems, other user accounts, or data.
  • Reverse engineer, decompile, or disassemble any part of our software.
  • Share your account credentials with unauthorized third parties.
  • Use the Services in a way that violates Amazon's Seller Central terms, Acceptable Use Policy, or any applicable laws.
  • Transmit malware, viruses, or other harmful code through our Services.
  • Scrape, crawl, or use automated tools to extract data from our platform beyond intended use.
  • Resell, redistribute, or sublicense our Services or any data obtained through them without prior written consent.
  • Attempt to extract or export Amazon SP-API data for use outside our platform or for competitive purposes.

6. Service Availability and Performance

  • We commit to maintaining adequate availability, performance, and support for the Services as required for normal business operations.
  • We monitor client-side errors, API throttling quotas, and system performance to ensure service quality.
  • We may perform scheduled maintenance with reasonable advance notice.
  • We are not liable for temporary service interruptions due to maintenance, updates, or circumstances beyond our control, including disruptions to Amazon's SP-API.
  • We will make reasonable efforts to notify you of any extended downtime.

7. Pricing and Payment

  • Custom pricing: Our services are priced based on your business needs, including the number of ASINs managed, marketplaces tracked, and service level required.
  • Quotes: You may request a personalized quote through our website or by contacting us directly.
  • Payment terms: Payment terms are specified in your individual service agreement or invoice. Unless otherwise agreed, payments are due within 30 days of invoice date.
  • Late payments: We reserve the right to suspend Services for accounts with overdue payments after providing reasonable notice.
  • Price changes: We will provide at least 30 days' written notice before any pricing changes take effect. Price changes do not apply retroactively.
  • Refunds: Refund eligibility is determined on a case-by-case basis as outlined in your service agreement.

8. Intellectual Property

  • All content, features, and functionality of our Services (including software, designs, text, and graphics) are owned by ALFI and protected by applicable intellectual property laws.
  • Amazon content, trademarks, and data accessed through the SP-API remain the property of Amazon and/or the respective selling partners.
  • You retain ownership of your data, including your Amazon seller data and business information.
  • We grant you a limited, non-exclusive, non-transferable license to use our software for the duration of your subscription.
  • You may not copy, modify, or create derivative works based on our software without prior written consent.
  • Your use of our Services will not infringe any third-party intellectual property rights.

9. Data Handling

Our collection, use, storage, protection, and deletion of your data is governed by our Privacy Policy. Key points:

  • We implement industry-standard security measures including encryption at rest (AES-256) and in transit (TLS 1.2+).
  • Row-level security policies ensure strict data isolation between organizations.
  • Multi-factor authentication (MFA) is required for all accounts with access to Amazon data.
  • You may request data deletion at any time as described in our Privacy Policy.
  • PII obtained through Amazon SP-API is retained for no longer than 30 days after the authorized purpose is fulfilled.
  • We comply with Amazon's Data Protection Policy for all SP-API data handling.
  • Upon termination, you may request a data export in a standard format (CSV/JSON) before your data is deleted. Data exports are available for 30 days following termination.

10. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Services will meet all of your requirements.
  • The Services will be uninterrupted, timely, secure, or error-free.
  • Restock recommendations or inventory projections will be accurate in all circumstances.
  • The results obtained from using the Services will be accurate or reliable.
  • Amazon's SP-API will remain available or unchanged.

You acknowledge that inventory management and restock decisions are ultimately your responsibility, and our recommendations are tools to assist your decision-making, not guarantees of outcomes.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ALFI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our Services.

Our total liability for any claims arising from or related to the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

We are not liable for any losses arising from the unavailability or changes to Amazon's SP-API, including changes to data access permissions, API deprecations, or service disruptions on Amazon's end.

12. Indemnification

You agree to indemnify, defend, and hold harmless ALFI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of our Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your violation of any third-party rights, including Amazon's terms of service.
  • Any misuse of Amazon seller data that you authorize through our platform.

13. Termination

13.1 User-Initiated Termination

  • You may terminate your use of the Services at any time with 30 days' written notice.
  • Upon termination, you may request a data export (see Section 9) within 30 days.
  • After the export window, all your data will be permanently deleted per our Privacy Policy.

13.2 ALFI-Initiated Termination

  • We may terminate or suspend your access immediately if you violate these Terms.
  • We may terminate the Services with 30 days' written notice for any reason.

13.3 Amazon-Driven Changes

  • If Amazon revokes our SP-API access or changes API permissions in a way that materially affects our ability to provide the Services, we will notify you promptly and work to restore service where possible.
  • If restoration is not possible, you will be entitled to a pro-rated refund for any prepaid services and a 30-day data export window.

13.4 Effect of Termination

  • Upon termination, your right to use the Services ceases immediately.
  • Data deletion follows the procedures outlined in our Privacy Policy.
  • Sections 8, 10, 11, 12, and 16 survive termination of these Terms.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms caused by events beyond their reasonable control, including but not limited to natural disasters, acts of government, pandemic, internet outages, Amazon service disruptions, cyberattacks, or utility failures. The affected party must notify the other party promptly and make reasonable efforts to mitigate the impact.

15. Changes to Terms

We may update these Terms from time to time. We will post any changes on this page and update the effective date. For material changes, we will provide at least 30 days' notice via email or through our Services before the changes take effect. Continued use of our Services after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you may terminate your use of the Services.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

18. Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and ALFI regarding the use of our Services. These Terms supersede any prior agreements or understandings, whether written or oral.
